Filing a PA Annual Report

Beginning in 2025, most domestic and foreign filing associations are required to file an Annual Report. Here is a quick guide to help you understand the requirements and deadlines.
Who Must File
Domestic and Foreign:
- Business Corporations
- Not-for-Profit Corporations
- Limited Liability Companies
- Limited Partnerships
- Limited Liability General Partnerships
- Profesional Associations
What Information is Needed?
- Your business name
- Your jurisdiction
- Your registered office address
- Your principal office address
- The name of at least one governor (director, member, partner, etc.)
- Officer names, if any
- Your Department of State file number
What is the Filing Process?
- Search for your entity in the Business Filing Services at file.dos.pa.gov.
- Confirm/update your information.
- Pay the $7 fee (there is no fee for not-for-profits).
- Download your filed report within minutes. Annual reports submitted online will be processed instantly.
Deadlines and Compliance
The annual report requirement begins in 2025.
Your filing window is based on your entity type:
- Corporations: January 1 – June 30
- Limited Liability Companies: January 1 – September 30
- All Others: January 1 – December 31
Failure to file an annual report will result in the administrative dissolution, termination, or cancellation of your business registration.
The Department of State will notify entities via email (if provided) and postcard before the deadlines. Be sure your email is up to date.
You may update your report during the reporting year for no additional fee.
Reinstatement and Re-Registration
For domestic entities that have been administratively dissolved, reinstatement is possible anytime with fees (if the name is still available).
Foreign entities that have been administratively dissolved must re-register with no retroactive effect.
